Nissan - Designboom competition

Intellectual property rights
Any moral and paternity right regarding the project sent in for application is designer’s property.
However, by submitting a design in the competition, the participant agrees to provide Nissan with the exclusive right for a period of 9 months - starting from the reveal of the winning creations.
After, these 9 months, Nissan will be granted the right of first refusal for all artworks during and this for a period of 6 months. During these 15 months, the designers are allowed to show their creations – submitted to the designboom competition and without any modification - on any platform (personal portfolio, blog…) for self-promotion.

After those 15 months (9+6), all designers can use their artworks freely provided that they delete any Nissan intellectual property right and Nissan distinctive sign (e.g. graphical chart items) from theses artworks.
In the event that Nissan exercises the option, Nissan and the participant undertake to make an agreement concerning the rights for production of the creation and the transfer of Intellectual Property rights with the participant This agreement shall contain all the conditions for transaction of this type on the basis of on an exclusive right, for European countries and sine die (without time limitations).

By participating in the competition, all participants authorise designboom and NISSAN to publish and exhibit all the designs (including project data submitted) – waiving compensation – at exhibitions and events and/or to use them in any PUBLICATIONS, NISSAN COMMUNICATIONS that Designboom or NISSAN may deem suitable and/or necessary. In any cases, each time the creation is used, they must refer to the competition they originate from.

In case Nissan want to exhibit the Design object, Nissan will be responsible for shipping and insurance fees.
Designboom and NISSAN will credit the designer's name to properly attribute authorship of works to promote the author adequately. Nissan will have the right to apply minor change amendments without damaging the integrity of the artwork – E.g. Add the Nissan logo and text, reframing, translation, changing colors, cutting the background or parts of it, etc…)
In case designboom and / or NISSAN want to bring major changes to the submitted artwork for publication, designboom and / or the NISSAN agency will contact the designer and inform him about the use to obtain the designer's consent.

Eligibility
The competition is only open to people of 18 years or older.

Applicable law and dispute resolution
Litigation
Any dispute that may arise regarding the construction or application of this contract, which cannot be resolved by amicable means, shall be submitted exclusively to the Milan district court.

Article Governing law
This agreement is constructed and shall be governed exclusively by the laws of Italy.
